These Terms & Conditions (“Terms”) govern all use of Lumen Business Metrics’ website, products, subscriptions, deliverables, and services.

By accessing or using our platform, you agree to be legally bound by these Terms.

If you disagree, discontinue use immediately.

1. SERVICES PROVIDED

Lumen Business Metrics provides financial statement summaries, financial rights, monthly reporting, and fractional CFO-style reviews and meetings.
Services may include, depending on your selected plan:

Basic Monthly Financial Statements
Advanced/Gold Monthly Financial Statements
CFO Monthly Review Email
Fractional CFO Monthly Meeting (up to 60 minutes)
Digital explanations, summaries, and observations

All services are informational only and based solely on the financial data you provide.

2. NO PROFESSIONAL ADVICE

Unless explicitly stated in writing, Lumen Business Metrics does not provide:

Tax preparation or tax strategy
Legal advice
Investment recommendations
Audit, assurance, or forensic accounting
Bookkeeping or data entry
Financial certifications or GAAP compliance verification

Nothing on our website, in our reports, or in our communications constitutes certified legal, accounting, or investment advice.
You should consult licensed professionals for regulated services.

3. CLIENT RESPONSIBILITIES

You agree that you are solely responsible for:

Maintaining accurate and current bookkeeping
Providing complete and truthful financial information
Uploading documents on time
Proper transaction categorisation
Reviewing your statements and deliverables
Scheduling meetings within the availability provided

We are not responsible for inaccuracies, delays, or errors resulting from incomplete, incorrect, or outdated information you provide.

4. DELIVERABLES & TIMING

Deliverables are dependent on your timely data submission.

Monthly statements are created only after all required data is submitted.
CFO Review Emails and CFO Meetings occur only after reports are delivered.
Monthly CFO Meetings occur after the 10th of each month.
Meetings are limited to 60 minutes and must be scheduled using our official scheduling tool.
Missed meetings without a 24-hour notice are considered delivered.

We do not guarantee delivery dates if your data is late or incomplete.

5. SUBSCRIPTIONS, BILLING & CANCELLATION

All subscriptions renew automatically unless cancelled.
Cancellations take effect in the next billing cycle.
No partial or mid-cycle refunds.
All completed services, reports, or meetings are non-refundable.
Failure to submit data does not pause billing or entitle you to refunds.

Refunds are not provided due to misunderstanding, failure to use services, or business changes.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

We are not liable for financial loss, penalties, tax issues, or damages resulting from your decisions.
We are not responsible for third-party software failures (QuickBooks, banks, email providers, scheduling tools, etc.).
Our maximum liability is strictly limited to one month of subscription fees, regardless of claim or cause.

This limitation applies even if you advise us of potential risks.

7. NO GUARANTEES

All insights, commentary, and observations are general in nature and based solely on the unverified data you provide.

We do not guarantee:

Accuracy of financial statements
Tax or regulatory compliance
Business or financial results
Profitability or performance improvements

Outcomes are not guaranteed.

You assume full responsibility for business decisions made using any information provided.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Lumen Business Metrics from all claims, liabilities, damages, penalties, losses, or expenses arising from:

Your financial decisions
Your inaccurate data
Failure to comply with tax or regulatory obligations
Misuse or misunderstanding of reports
Breach of these Terms

This obligation survives the termination of your subscription.

9. CONFIDENTIALITY

We maintain the confidentiality of your financial information to the extent allowed by law.
You are responsible for safeguarding the reports and emails provided to you.

10. THIRD-PARTY SYSTEMS

Our services may rely on third-party systems such as QuickBooks, email services, data-connectors, scheduling tools, and financial institutions.

We are not liable for:

Outages
Errors
Sync issues
Data corruption
Loss of access

You are responsible for maintaining active third-party accounts and integrations.

11. ELECTRONIC COMMUNICATION CONSENT

By subscribing to or using our services, you consent to:

Receiving reports electronically
Receiving communications via email
Using online scheduling tools
Electronic signatures

Electronic communications carry the same legal effect as physical documents.

12. GOVERNING LAW

These Terms are governed by and interpreted in accordance with the laws of the State of West Virginia, without regard to conflict-of-law principles.

13. DISPUTE RESOLUTION

Any dispute arising out of these Terms shall be resolved through the following process:

Attempted informal resolution
If unresolved, binding arbitration will be conducted in West Virginia
Each party bears its own legal costs

You waive the right to participate in class-action claims against Us.

14. TERMINATION OF SERVICE

We reserve the right to suspend or terminate services immediately if:

You violate these Terms
You engage in abusive, fraudulent, or disrespectful conduct
You misuse or misrepresent deliverables
You fail to provide required information

No refunds will be issued upon termination due to client misconduct.

15. CHANGES TO TERMS

We may update or modify these Terms at any time.
Continued use of our services constitutes acceptance of the updated Terms.
